Position Overview: The selected associate will work on a broad range of sophisticated corporate transactions, advising private equity clients throughout the investment lifecycle. The role offers meaningful responsibility, direct client interaction, and opportunities to manage significant aspects of transactions.

Key Responsibilities: Represent private equity funds and portfolio companies in acquisitions, divestitures, recapitalizations, joint ventures, and strategic investments. Oversee critical phases of transactions, including due diligence, documentation, negotiations, and closing. Prepare, review, and negotiate definitive acquisition agreements and other transaction-related documents. Collaborate with internal deal teams, clients, and external advisors to facilitate efficient transaction execution. Identify potential legal and commercial risks while developing practical solutions aligned with client objectives.

Candidate Profile: 2-8 years of relevant corporate transactional experience, including a minimum of two years at an Am Law 100 firm representing private equity sponsors. Demonstrated experience advising financial sponsors and their portfolio companies on M&A and investment transactions. Strong command of transactional documentation, deal structuring, and negotiation. Exceptional organizational, analytical, and communication skills. Ability to independently manage responsibilities while working collaboratively in a fast-paced transactional environment. Sound commercial judgment and a client-focused approach to legal counsel.
