The FirmOur client, a rapidly growing private equity firm, is seeking an Attorney to join its legal and compliance team in San Diego. The attorney will work closely with the GC/CCO, investment team and senior leadership across transactions, fund matters, corporate governance and regulatory issues.
The Role:
This is a broad in-house opportunity for an attorney coming from either an M&A/private equity transactions or private funds/fund formation background who is interested in expanding their experience across the full legal function of a growing private equity firm.
Key responsibilities:- Support platform investments, add-on acquisitions, dispositions and other private equity transactions
- Assist with legal due diligence, deal execution and transaction documentation
- Support fund formation, fund structuring and ongoing fund-related matters
- Work on LP agreements, subscription documents, side letters and other investor documentation
- Advise on management company, fund and entity governance matters
- Draft and review NDAs, engagement letters and commercial agreements
- Manage legal workstreams and serve as a key point of contact for investment professionals, outside counsel, and other service providers
- Help build and improve legal processes as the firm continues to grow
Qualifications:
JD required
Approximately 3–6+ years of relevant legal experience
Strong background in either:
- Private equity M&A / corporate transactions, orPrivate funds / fund formation
- Top law firm training strongly preferred
- In-house or investment management experience is a plus, but not required
- Strong drafting, negotiation and project management skills
- Commercial, collaborative and comfortable working in a lean, fast-paced environment
