Junior Legal Counsel

Key Responsibilities: Provide legal advice to internal business teams on investment management, registered funds, ETFs and related regulatory matters Assist with SEC filings and ongoing updates to fund registration statements and offering documents Draft and review prospectus supplements, regulatory disclosures and other fund documentation Support fund board and committee meetings, including preparation of materials, memoranda and minutes Draft, review and negotiate a variety of agreements, including investment management, distribution, intermediary, trading and vendor agreements Assist with the launch and ongoing maintenance of investment products Requirements: J.D. from an accredited law school and admission to at least one U.S. state bar 2+ years of relevant legal experience Strong experience with the Investment Company Act of 1940 and Investment Advisers Act of 1940 Background in registered investment companies, mutual funds, ETFs or related investment products Experience drafting and negotiating commercial and investment management agreements
