This is an opportunity to take on substantive fund formation work across emerging company and venture fund matters, from organizational documents to investor due diligence and SEC reporting. What You'll Do:
As part of the fund formation team, you'll help venture fund clients launch and maintain their funds while supporting attorneys and senior paralegals across the full life cycle of fund work.
Prepare and maintain organizational documents, including partnership and limited liability company agreements
Draft side letters, transfer agreements, admission agreements, and other amendments
Conduct investor suitability due diligence
Research federal and state securities regulations in connection with fund formations
Prepare and file required notices
Conduct due diligence document review and assist with preparing opinions and supporting backup
Handle SEC compliance reporting for venture fund clients related to their public company stock portfolios
Manage timekeeping and administrative responsibilities promptly and accurately
What You'll Bring Required:
Bachelor's degree
1-3 years of fund formation experience
Ability to bill a minimum of 1,600 hours annually
Availability to work overtime as required
Working knowledge of Microsoft Office and the ability to learn iManage and other firm technology
Excellent written communication and proofreading skills, with strong attention to detail
Ability to work independently and as part of a team for multiple supervisors, prioritizing shifting assignments and meeting deadlines under pressure with initiative, diplomacy, and tact
Especially Helpful: A paralegal certificate is preferred.
